MEMBERSHIP AGREEMENT

This Membership Agreement ("Agreement"), on the one hand, Kazlıçeşme Mah. 245. Sk. No: 5 Zeytinburnu / Istanbul ("BOOSTFEEL TEKNOLOJİ ÇÖZÜMLERİ ANONİM ŞİRKETİ ("BOOSTFEEL") and the user ("Member") who is a member of the website https://www.boostfeel.com on the other side.

Hereinafter, BOOSTFEEL and MEMBER are individually referred to as "Party" and together as "Parties".

The subject of this Agreement is to explain the general provisions regarding the Member's use of the Site, BOOSTFEEL's method of collecting and using information and the method of preserving them, and to determine the mutual rights and obligations of the Parties in this context. The Member accepts, declares and undertakes that from the moment he/she visits the Site, he/she will have accepted all the explanations made by the Site management regarding the use, membership, goods and services offered and security within the Site and that he/she cannot claim that he/she does not know the matters regulated in this Agreement and the Site.

3.1. While using the Site, becoming a member of the Site, shopping through the Site, the Member has the discretion to provide the requested information, and the Member may refrain from providing personal information if the Member does not deem it appropriate. However, the use of certain services, promotions or special opportunities on the Site, participation in campaigns and shopping through the Site is conditional upon becoming a member of this Site or any site linked or pointed to by the Site. Users who are not members will not be able to benefit from these opportunities.

3.2. During the membership process, Users are asked to provide some personal information such as name-surname, address, e-mail address, telephone number, and if this information is not provided in full and complete, the membership request may be rejected. The Company will use the personal information and data of the Users in accordance with the purpose and will not share them with third parties without the consent of the User. The Company has the right to disclose personal information to the official authorities only in cases where the official authorities duly request and are obliged to disclose to the official authorities in accordance with the provisions of the mandatory legislation in force. In this context, the User declares that he/she agrees to receive commercial electronic messages from the Company using the information he/she provided while becoming a member of the Website.

3.3. The Member declares and accepts that he/she consents to the use of the information that BOOSTFEEL may request or the information transferred by the Member himself/herself and the relevant information revealed in the transactions made through the Site, without revealing his/her identity in any way, only in cases such as various statistical evaluations, e-mails to be sent at certain intervals and / or authorized communication and marketing, database creation efforts and market research via text message / video multimedia message (SMS/MMS) from mobile phone.

3.4. If the Member wishes to stop the E-Newsletter sent to him/her within the scope of commercial electronic messages, he/she can easily unsubscribe from the e-bulletin with a single click by clicking on the link "Click to unsubscribe from our newsletter list" at the bottom of the E-Newsletter at any time.

3.5. The Member accepts, declares and undertakes that he/she will act in accordance with all the terms contained in this Agreement, the explanations made in the relevant parts of the Site and all applicable legislation during the use of the Site, otherwise, he/she accepts, declares and undertakes that all legal, criminal and financial responsibilities that may arise due to use contrary to these notices and laws belong to him/her.

3.6. The Member is solely responsible for the confidentiality and storage of the security information (username, password, etc.) used to benefit from the services of the Site. The Member accepts, declares and undertakes that he/she will not use someone else's IP address, e-mail address, user name and other information during access to the Site. The Member may not access or use the confidential information of other users without authorization.

3.7. The Member may not take any action that prevents or makes it difficult for other users to use the Site, load, force or lock servers or databases with automatic programs. It cannot make fraudulent attempts to mislead the data. Otherwise, the Member shall be solely responsible for any legal, criminal and financial liabilities that may arise. The Member may not use the www.boostfeel.com website in any way that disrupts public order, violates public morality, disturbs and harasses others, for an illegal purpose, in a way that infringes the intellectual and copyright rights of others.

3.8. The Member accepts, declares and undertakes that the information and content provided by the Member is real, reliable and lawful. BOOSTFEEL has no obligation to investigate the accuracy of the information and content uploaded, modified or provided by the Member, and BOOSTFEEL is not responsible for any damages that may arise due to the Member's information being untrue.

3.9. The Member is obliged to fulfill the changes and/or corrections requested by BOOSTFEEL in the fastest way possible, and the Member is solely responsible for the damages, legal and criminal liabilities arising or may arise due to failure to fulfill them on time.

3.10. The Member may not use, exhibit, reproduce or sell BOOSTFEEL's works subject to intellectual and industrial property rights and copyrights without permission.

3.11. The Member is obliged to immediately indemnify BOOSTFEEL for any damages incurred by BOOSTFEEL in case of breach of any of its rights and obligations set forth in this Agreement. The Member's breach of any article of this Agreement is grounds for cancellation of membership.

3.12. BOOSTFEEL stores statistical data for the organization of customer profiles. The Member agrees that this information may be shared with the companies with which it cooperates in order to enrich the content of the Site and to use the Site effectively by adhering to the confidentiality rules. BOOSTFEEL accepts, declares and undertakes that this information is used for the purpose of obtaining statistical information within the Site itself and will not be used for commercial purposes for any reason other than this purpose.

3.13. All information entered into the system by the Member may be changed by the Member. Other users or companies with which the Site cooperates cannot access and interfere with this information.

3.14. BOOSTFEEL reserves the right to unilaterally change the content of the Site at any time and in any manner it wishes. Changes will be effective from the moment of publication on the Site and it will be accepted that these changes are learned every time you access the Site.

3.15. BOOSTFEEL shall not be held responsible for delays and problems that may occur in the services provided through the Site due to the Member's failure to update his/her personal information on the Site.

3.16. The Site is managed in accordance with the relevant legislation in force. In case the Member is a child, children's access to and use of the Site must be supervised by their parents or an adult and must be carried out within the framework of their permission and approval. Persons under 18 years of age may not become a member of the Website and may not make purchases through the Website. If it is determined that the Member is under the age of 18, BOOSTFEEL shall immediately cancel the membership.

3.17. BOOSTFEEL shall fulfill its obligations in accordance with the provisions of the legislation on the protection of personal data in order to ensure the security of the Member's personal information and data. Even if BOOSTFEEL fulfills all necessary obligations, BOOSTFEEL does not give any guarantee to the Member regarding the security problems that may arise due to security vulnerability, hacker attack and similar situations that may occur due to technical reasons. For this reason, BOOSTFEEL shall not be liable for any direct or indirect damages and losses arising from the loss, unauthorized use, misuse and replacement of the Member's information and data with other information.

4.1. All registered or unregistered intellectual and industrial property rights such as title, business name, trademark, patent, logo, design, information and method on the Site belong to the Site operator and owner company or the relevant person and are under the protection of national and international law. Visiting this Site or utilizing the services on this Site does not give any rights to the Member regarding the intellectual property rights in question.

4.2. The information contained on the Site may not be reproduced, published, copied, presented and/or transferred in any way. The whole or part of the Site may not be used on any other website without permission.

Situations (natural disasters, war, terrorism, insurrection, changing legislative provisions, seizure or strike, lockout, significant failure in production and communication facilities, etc.) that do not exist or were not foreseen at the time of the signing of the Agreement, that develop beyond the control of the Parties, and that make it impossible for the Parties to fulfill their obligations and responsibilities under the Agreement partially or completely or to fulfill them in a timely manner shall be considered force majeure. The Party in whose person the force majeure occurs shall notify the other Party immediately and in writing. During the continuation of force majeure, the Parties shall not be liable for any failure to fulfill their obligations. If this force majeure situation continues for 30 (thirty) days, each Party shall have the right to terminate unilaterally.

BOOSTFEEL shall have no liability whatsoever in the event that BOOSTFEEL is unable to fulfill its obligations under the Contract due to Force Majeure Events or other reasons not objectively due to its own fault.

The Member agrees that BOOSTFEEL's official books and commercial records, electronic information, computer and voice recordings kept in its database and servers shall constitute evidence in any dispute that may arise from the Agreement, and that this article constitutes an evidential contract within the meaning of Article 193 of the Code of Civil Procedure.

This Agreement shall be governed by the laws of the Republic of Turkey. The Parties agree that Istanbul (Central) Courts and Enforcement Directorates shall be competent in disputes arising out of the Agreement.

BOOSTFEEL has the right and authority to transfer its rights and obligations arising from this agreement to third parties without the consent of the Member.

BOOSTFEEL has the right to make changes to this Agreement without any prior notice. It is necessary for the Member to be aware of the changes made by regularly reading the terms and conditions of this Agreement and all changes made are valid from the moment they are uploaded to the Site. By continuing to use the Site, the Member accepts and declares that he/she is aware of these changes and approves the changed terms and conditions if he/she continues to access the Site.
